Agreement to our legal terms

These Legal Terms are provided by Kyrylo Myronov, a self-employed individual (autónomo) based in Spain ("we", "us", "our"). By accessing or using U.M.A services, you agree to these Terms.

1. Our services

U.M.A is a platform ecosystem consisting of (a) U.M.A Stage — a web-based management tool for venues, bands, and promoters at umetal.app, and (b) U.M.A — a free mobile application for fans to discover and follow live music events at fan.umetal.app. Both applications share these Terms unless stated otherwise.

U.M.A is free to use and is sustained entirely by voluntary community support — including donations via Patreon and crowdfunding campaigns. There are no advertisements and no sale of user data. U.M.A Stage operates on a freemium model; paid tiers (when available) are optional upgrades for operators.

Services are intended for lawful use by adults. Accessing the Services from locations where use is prohibited is your responsibility and you must comply with local law where applicable.

2. Intellectual property rights

We own or license all rights in the Services, including code, design, text, media, and trademarks. Subject to your compliance with these Terms, we grant a limited, revocable, non-exclusive license for personal or internal business use.

Where features permit submissions, you are solely responsible for your content and represent you own or have rights to submit it.

6. Contribution license

By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to host, use, display, and distribute that content to operate and improve the Services.

7. Services management

We may monitor Services for violations, enforce these Terms, and manage access to protect users, systems, and legal compliance.

8. Term and termination

These Terms remain in effect while you use the Services. We may suspend or terminate access for violations, fraud, abuse, legal risk, or security concerns. Upon termination, you may submit a data access or portability request under our Privacy Policy before the account deletion period expires. After permanent deletion, data recovery is not possible.

9. Modifications and interruptions

We may change, suspend, or discontinue portions of the Services at any time. We do not guarantee uninterrupted availability.

10. Governing law

These Legal Terms are governed by the laws of Spain. You and Kyrylo Myronovconsent to the jurisdiction of competent courts in Sevilla, Spain, subject to mandatory legal rights in your residence.

11. Dispute resolution

Before formal proceedings, parties agree to attempt informal resolution for a minimum of 30 days by written communication to the contact address in Section 19. Unless mandatory law says otherwise, disputes are resolved by competent courts in Sevilla, Spain.

12. Corrections

There may occasionally be typographical errors, inaccuracies, or omissions. We reserve the right to correct these and update information at any time.

13. Disclaimer

The Services are delivered in their current form and subject to availability, with all warranties excluded to the maximum extent permitted by applicable law, including without limitation any implied warranty of satisfactory quality, fitness for a specific purpose, or non-infringement of rights.

14. Limitations of liability

To the fullest extent permitted by law, we are not liable for indirect or consequential losses. Our aggregate liability is limited to amounts paid by you to us in the 12 months before the claim.

15. Indemnification

You agree to indemnify and hold us harmless from losses, claims, and liabilities arising from your use of the Services, violation of these Terms, or infringement of third-party rights. This clause applies to the fullest extent permitted by applicable law. Nothing in this clause limits any statutory rights you have under EU consumer protection law.

16. User data

We retain data transmitted by you to the extent necessary to deliver the Services and administer your account. You bear responsibility for the accuracy of information you submit and for maintaining any backups you require.

17. Electronic communications, transactions, and signatures

By using the Services and transmitting electronic communications, you consent to the formation of agreements, the delivery of notices, and the execution of signatures by electronic means where such methods are recognised as legally effective.

18. Miscellaneous

These Terms together with any policies referenced or published by us constitute the complete agreement between the parties with respect to use of the Services. Should any provision be held invalid or unenforceable, all remaining provisions shall continue to operate with full effect.
